Zoe is the Head of Real Estate Tax for Evelyn Partners and prior to joining Evelyn Partners, Zoe was a Corporate Tax Partner at EY for 9 years and before that she was at Deloitte for 10 years. She has over 25 years’ experience in the provision of domestic and international corporate tax advice, fund structuring and M&A transactions, with a specific focus on the Real Estate & Construction and Outsourcing sectors.

Zoe advises on tax matters arising from tax compliance and reporting as well as projects including providing due diligence and tax structuring advice on transactions in particular in the Real Estate & Construction, Retail and Outsourcing sectors. She also advises on many infrastructure projects, in particular PPP and PFI projects, this advice typically includes restructuring and refinancing and reviewing financial models for both the public and private sector.

Fergus has worked in financial services since 1994. His client work includes personal wealth structuring for entrepreneurs, family groups and individuals. He works collaboratively with other advisers to help business owners achieve their goals.

He is equally at home advising landed families and he is experienced in dealing with the dynamics of extended families with multiple generations.

Fergus places great emphasis on strategic planning, looking at long-term goals and existing asset position before executing investment strategy. This integrates tax strategies alongside the investment process.

Jason Dunlop

Jason is a Partner in the Real Estate Tax team at Evelyn Partners. He advises domestic and overseas clients seeking to invest in, develop, finance, operate and exit real estate investments in the UK and internationally.

Jason has extensive experience on real estate ownership structures taking into consideration the tax profile of the investors, the nature of the asset and the investment strategy. He advises his clients throughout all aspects of the real estate ownership lifecycle, from acquisition to exit, looking at UK direct taxes, VAT, stamp taxes, transfer pricing, capital allowances, and international taxes.

Jason has a particular focus on UK and pan-European Real Estate M&A and the tax services required by investors in connection with the acquisition of entities owning real estate, including financial and tax due diligence, tax structuring, SPA advice and tax forecasting / modelling. Jason works closely with real estate funds and investment managers, and advises them on particular tax issues pertaining to them and their investors.

Jason is also a Stamp Taxes specialist and has extensive experience advising clients on matters in relation to SDLT and their regional equivalents.

Pranav has over 10 years of experience advising large multi-national corporates and private equity funds across areas of performance improvement, operational turnaround and value creation via organic and inorganic strategies.

He joined TS&W in September 2021 from Deloitte and has previously been involved in advising clients on large and complex M&A transactions covering operational due diligence, synergy plans and executing post-deal transformation strategies.

He has previously worked across advisory and transaction teams at EY working with clients across UK and the rest of Europe, US, Africa and India. Pranav brings experience from different industries with a focus on the financial services sector covering insurance, banking, wealth & asset management and FinTech companies

Dominic is a senior member of our Consulting and Accounting Solutions team based in London, providing specialist accounting advice to private and listed companies across a diverse range of sectors.

This advice includes projects on the application of technical accounting – in particular accounting policy conversions and GAAP analysis, preparation of financial statements and disclosure reviews, mergers and acquisitions, impact assessments and implementation support for new standards, group restructurings, and training – often working as part of cross-functional teams including Transactions Services, Audit and Tax.

Dominic has an in-depth knowledge of International and UK Financial Reporting Standards and Company Law, across a broad range of technical areas, including, business combinations, financial instruments, share options, leasing and foreign currency.

Dominic also provides specific accounting support and services in relation to control reviews, quantification of accounting errors, corporate training.

Emma Bagshaw

Assurance and accounting

Emma provides financial reporting and accounting advice to a variety of clients, which include listed and non-listed businesses and household names, across a wide range of sectors.

Emma has assisted her clients in the preparation of technical accounting memos for transaction-led events such as acquisitions, group reorganisations and refinancing, provision of impact assessments and implementation support for new accounting standards.

Emma has an in-depth knowledge of FRS 102, IFRS and Company Law and has significant experience of working as part of cross-functional teams with Transaction Services, Valuations, Tax and Audit both internally and directly with her clients’ advisors.
